Terms and conditions

1. Scope

These terms apply to all services that W2F|UK Ltd. ("W2F|UK") provides to business clients ("Client"). Differing client terms apply only if confirmed in writing.

2. Services

W2F|UK provides advisory, engineering and operations services for bespoke AI agents. Scope, specification and compensation are detailed in the respective proposal or Statement of Work (SoW).

3. Compensation

Unless agreed otherwise, services are billed on a time-and-materials basis. Discovery and pilot phases may be agreed at fixed prices. Operations are billed monthly as a retainer. All prices are exclusive of VAT.

4. Client cooperation

The Client provides necessary information, system access and points of contact in a timely manner.

5. Intellectual property

The Client receives a perpetual, worldwide, non-exclusive licence to use the contractually agreed deliverables for the agreed purpose. Pre-existing W2F|UK tools, frameworks and methods remain the property of W2F|UK.

6. Confidentiality

Both parties undertake not to disclose the other party's confidential information and to use it solely for contract performance.

7. Liability

W2F|UK is liable for damages caused by gross negligence or wilful misconduct. Liability for slight negligence is limited to typical foreseeable damages and capped at the fee paid for the relevant project.

8. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. Place of jurisdiction is London. The UN Convention on Contracts for the International Sale of Goods is excluded.
